KROGER FILES FORM 10-K FOR FISCAL 2000

CINCINNATI, OH, May 2, 2001 - The Kroger Co. (NYSE: KR) today announced that it has filed its Form 10-K for fiscal 2000 with the Securities and Exchange Commission.

The restated results for fiscal 1998, 1999 and the first half of 2000 are unchanged from those announced in March. The filing also includes an unqualified audit opinion from PricewaterhouseCoopers LLP for fiscal 1998, 1999 and 2000.

Kroger will host a conference call with investors on Thursday, May 3, at 10 a.m. (EST) to review the restated financials. To access the conference call, investors in the United States and Canada may call (800) 932-9726 and international callers may dial (706) 679-3317. The conference call also will be broadcast live via the Internet at www.kroger.com and www.streetevents.com. An on-demand replay of the webcast will be available from 2 p.m. (EST) on May 3, 2001 through May 10, 2001.
