DREAMWORKS AND THE KROGER CO. TEAM UP TO OFFER SHREK™-SIZED VALUE TO LOYAL SUPERMARKET SHOPPERS THIS SPRING

Grocery Purchases Can Earn Free Movie Tickets

GLENDALE, Calif. (April 16, 2001) - DreamWorks Consumer Products and The Kroger Co. today announced a joint promotion that allows their supermarket shoppers to earn free movie tickets to the computer-animated comedy Shrek based on their grocery purchases during a four-week period beginning this week.

The four-week promotion will take place in more than 2,000 Kroger-owned stores nationwide (see attached for a list of participating stores). Customers who purchase $300 in groceries using their shopper's card will earn two free tickets (child admission or adult matinee) to Shrek, which opens May 18, 2001 in theaters around the country. In markets where Kroger does not offer a shopper's card, customers must save their cash register receipts totaling $300 to earn free tickets.

The program will be supported by television commercials, radio and print ads, direct mail, heavy in-store point-of-sale and online support in most markets where Kroger-owned stores are located.

"This special promotion is a great way to reward our loyal customers who use their Kroger Plus card or our other shopper's cards in our stores," said Don McGeorge, executive vice president of Kroger.

Kroger joins the lineup of multi-million dollar promotional partners including Burger King, Chevron, Heinz, Sour Punch and Baskin-Robbins to make the Shrek promotional campaign the largest to date for DreamWorks SKG.

Participating Kroger-owned stores will offer customers an assortment of Shrek licensed merchandise in locations nationwide, including toys from TMP International, Inc. with an exclusive 3" action figure 4-pack, candy products from ToySite, digital watches and sunglasses from IMT Accessories, and a variety of hats from American Boy & Girl Accessories.

In addition, many stores will offer a variety of other Shrek-themed products and services, including Shrek cookies, cakes and cupcakes at store bakeries and the opportunity for customers to have their photos taken with Shrek standees at one-hour photo booths. Among other highlights:

Local Initiatives: Shrek--themed coloring contests, cupcake decorating contests, in-theater bounce backs will take place in select locations across the country;
In-Store Premiums: Exclusive in-store premiums will be available.

"This will be the biggest supermarket promotion of any kind to date," said Anne Globe, Head of DreamWorks Consumer Products Marketing and National Promotions. "The Kroger customer base is an ideal match with our target Shrek moviegoer of families and kids. We worked closely with Kroger to co-develop a completely unique promotion and merchandise plan bringing the movie to life in their stores."

About the Film

Mike Myers (Shrek), Eddie Murphy (Donkey), Cameron Diaz (Princess Fiona) and John Lithgow (Lord Farquaad) head the voice cast of the irreverent comedy Shrek from the computer animation wizards at PDI/DreamWorks (Antz). The film is based on the children's book by William Steig.

Once upon a time, in a far away swamp, there lived an ornery ogre named Shrek, whose precious solitude is suddenly shattered by an invasion of annoying fairy tale characters. There are blind mice in his food, a big bad wolf in his bed, three little homeless pigs and more, all banished from their kingdom by the evil Lord Farquaad.

Determined to save their home - not to mention his own - Shrek cuts a deal with Farquaad and sets out to rescue the beautiful Princess Fiona to be Farquaad's bride. Accompanying him on his mission is a wisecracking Donkey, who will do anything for Shrek...except shut up. Rescuing the Princess from a fire-breathing dragon may prove the least of their problems when the deep, dark secret she has been keeping is revealed.

DreamWorks SKG was formed in October 1994 by its three principal partners - Steven Spielberg, Jeffrey Katzenberg and David Geffen - to produce live-action motion pictures; animated feature films; network, syndicated and cable television programming; home video entertainment; records; books; toys; and consumer products.

Headquartered in Cincinnati, Ohio, Kroger (NYSE: KR) is one of the nation's largest retail grocery chains. At the end of the fourth quarter, the Company operated 2,354 supermarkets and multi-department stores in 31 states under nearly two dozen banners, including Kroger, Fred Meyer, Ralphs, Smith's, King Soopers, Dillon, Fry's, City Market, Food 4 Less and Quality Food Centers.
