KROGER ANNOUNCES PROMOTIONS

CINCINNATI, OH, March 8, 2000 -- The Kroger Co. (NYSE: KR) today announced two promotions at its corporate headquarters.

M. Beth Van Oflen has been promoted to Vice President, Corporate Financial Services and Control. She replaces J. Michael Schlotman, who was recently named Group Vice President and Chief Financial Officer. Ms. Van Oflen, 42, previously served as Vice President of the Company’s Corporate Tax department, which she has headed since 1996. Prior to that, she was Assistant Corporate Controller. Ms. Van Oflen joined Kroger in 1982 as a Sales Tax Specialist. She is a graduate of the University of Cincinnati and a Certified Public Accountant.

Scott M. Henderson, 44, has been promoted to the newly created position of Vice President, Planning. He previously served as Vice President and Regional Controller, based in Hutchinson, Kansas. Prior to that, Mr. Henderson was Vice President and Controller for Dillon Companies, Inc., a wholly owned subsidiary of Kroger. He joined the Company in 1981 as Manager of Financial Reporting in Cincinnati. Mr. Henderson is a graduate of Miami University and a Certified Public Accountant.
